GENERAL CONDITIONS FOR THE SALE AND USAGE OF THE «CART’ETINCELLE»
The present general conditions of sale (below the " General Conditions ") are concluded between the company 5CONTINENTS, LIMITED COMPANY with a capital of 10 000 € registered in Paris, France under the RCS number 494 438 146, situated 4 rue Louis Codet, 75007 Paris, France (below called "5CONTINENTS") and any company or private individual wishing to buy one or several "Cart'etincelle", (below called the "Customer"). Together called "the Parties".
The present General Conditions govern exclusively sales by 5CONTINENTS of " Cart' etincelle " proposed on the site www.cartetincelle.com (below the "Site"). All Parties agree that their relations are exclusively governed by the present General Conditions. Before any transaction, the Customer recognizes to have read and expressly declares to accept the aforementioned General Conditions since he buys.
DEFINITIONS - OBJECT :
« Project Holders » signifie mean the organization receiving the donations according to the present General Conditions, such as listed on the Site.
« Order » indicates the Order made by the Customer on the Site, according to the present General Conditions.
« Card Holder(s) » indicates one or several individuals using the " Cart'etincelle ".
OBJECT :
By the present, the Customer makes a commitment to give to 5CONTINENTS, who accepts it, a sum of money corresponding to a donation, for 5CONTINENTS to give back the amount of this donation to one or several Project Holders according to the modalities described in the present General Conditions (below "Donation").
The Customer will receive the " Cart'etincelles " ordered with a face value, not identifying either the Project Holder, or the Donor.
The Customer will pass on the" Cart'etincelles " to Card Holders who will indicate one or several Project Holders among those preselected by the Customer. If the Customer makes no preselection, all Project Holders will be proposed to the Card Holders.
When 5CONTINENTS will have collected from the Card Holders all the information related to the distribution of the Donation between the Project Holders, it will send the collected Donations to the Project Holders, in the conditions described on the present General Conditions.
« THE CART’ETINCELLE »
" Cart'etincelle " exists under two formats: the Reforestation Card and the Carbon Compensation Card. They give the opportunity to the Customer to communicate on ethical projects by associating third parties (eg employees or customers) in the choice of Project Holders who will receive the donations coming from the Customer.
To do it, the Customer buys to 5CONTINENTS one or several " Cart'etincelle " with a face value and credits it with the amount of his choice. He distributes it then to Card Holders who can choose the Project Holder on the Site thanks to an identifier printed on the « Cart'etincelle ».
Offered « Cart'etincelle » is of a variable sum: the Customer chooses the sum of Donation to load.
Cards can be used only once.
The Card Holders will be able to use them only for the financing of Project Holders listed on the Site and shortlisted by the Customer.
The updated list of Project Holders is available for consultation permanently on the Site.
Cards are valid on the www.cartetincelle.com Internet site only and until their date of end of validity specified by 5CONTINENTS during the Order, date registered on the Order addressed by 5CONTINENTS by e-mail to the Customer.
« Cart'etincelle » can't be either taken back, exchanged, transferred, rented, sold, reimbursed even partly, credited on a card or a bank account, or make the object of a discount. They cannot be replaced in case of loss, theft or after the end of validity. They cannot make the object of a request of opposition.
To use his « Cart'etincelle » on the Site, the Card Holder indicates the personal identification number printed on the « Cart' etincelle » in his possession.
« Cart'etincelle » doesn't belong to a named individual. Its use is the responsibility of the Card Holder.
Donations are paid to the chosen Project Holders within 90 days after the « Cart'etincelle » end of validity, in accordance with the Card Holders' choice.
In the case where some Card Holders do not allocate the Donations credited on the « Cart' etincelle » allocated to them before the end of the period of validity, these Donations will be paid to Project Holders chosen by default by the Customer during Order. If no Project Holder was chosen by the Customer during order, Donations will not be either taken back, or exchanged. Moreover, the Customer cannot choose a Project Holder if the Card Holder chooses voluntarily a « Cart' etincelle » in place of another present of the same value.
5CONTINENTS gives the opportunity to the Customer to customize the «Cart'etincelle » by downloading the name and/or the logo to reproduce on the Card (below the "Visual ").
To allow the realization of the individual Cards, the downloaded Visual must be in one of the following formats of file:.JPEG.PNG, or.GIF. Before the production of the customized « Cart' etincelle », 5CONTINENTS will send to the Customer a Pass for press for acceptance by the Customer. The Customer will have to validate or reject the Pass for press within a maximum of 48 hours. To validate Pass for press, the Customer will have to sign it and turn it back to 5CONTINENTS. In defect, and except reservations issued by the Customer within the aforementioned time frame, Pass for press will be considered as accepted by the Customer and 5CONTINENTS will issue the customized « Cart' etincelle ».
5CONTINENTS excludes any responsibility of whatever nature relating to the Visual, to the files containing it and/or to the transmitted data; in rights, of whatever nature, tied to the Visual, to the files and/or to the data of the Customer; as well as, without limitation, impression, reproduction, representation, downloading of the Visual, files and/or of the data of the Customer, whatever technique used and whatever the support can be. Also, 5CONTINENTS is not responsible for the compliance of the Visual, the files, and/or any data of the Customer in applicable legislation, notably, without limitation, in legal provisions relating to charity.
5CONTINENTS also excludes any responsibility relating to the use, conservation, loss and/or theft of « Cart' etincelle », as well as for any personal identification number, which resides under the whole responsibility of the Customer and/or the Card Holder.
5CONTINENTS excludes any responsibility resulting from any appeals, actions or claims of the Customer, a third party, Card Holders and/or Project Holders, which will be handled by the Customer only.
The Customer is entirely responsible for the used files, for the Visual, and for any data given. Notably, he guarantees that any data and/or file related to the downloaded Visual are free of any defect and notably any virus, Trojan horse or other malevolent code.
The Customer guarantees and declares on honor to be the possessor of any rights or permissions necessary for reproduction, representation, and use of the Visual and/or any files or data for the good of the present General Conditions.
The Customer guarantees that files, data and the Visual infringe no right of intellectual and/or industrial property or rights, or undermine the right to Company image, to private life, or to quite other right of a third party.
The Visual, any files and/or data have to infringe under no circumstances any legislation or regulation in force.
The Visual, any files and/or data have to reproduce under no circumstances notably any picture of public personality representation of which would be used for commercial, cultural, political or religious aims.
The Customer will indemnify 5CONTINENTS for any appeals of third party, Project Holders and/or Card Holders. The Customer will support all expenses for the defense of these actions and appeal.
5CONTINENTS is not responsible for the color variation of the Visual when printing, given that the quality of the reproduced picture is dependent on the quality of the Visual downloaded by the Customer.
ARTICLE 1 - THE ORDER
Modalities
The Customer places his Order by email, which can be recorded only if the Customer identifies himself by providing the compulsory information detailed in the Order form sent by 5CONTINENTS after reception of a request from the Site.
Acceptation/Confirmation
Validation and acceptance of Customer order is made when the Customer returns the validated order by email.
The Customer receives then an email of acknowledgement of receipt of order.
5CONTINENTS therefore invites the Customer to consult his emails regularly.
No refund is possible after purchase.
Treatment
Confirmed Orders are treated within 15 days after validated payment, from Monday till Friday, except bank holidays.
In case of incident preventing the treatment of the Order by 5CONTINENTS, it is cancelled without prior notice. Its payment is cancelled and/or reimbursed. Refund is performed by credit on the bank account from the Customer which performed the initial transaction. A confirmation is addressed by email to the Customer.
Suspension
5CONTINENTS may cancel any order from a Customer with whom there has been a payment defect in the past. The regulation of this prior Order will have to be done before treatment of the new Order.
5CONTINENTS may also cancel any order from Customer when the project Holders refuse the Donations from the Customer for any reason.
In case the suspension of Order by 5CONTINENTS following the conditions listed above, the Customer will not have the opportunity to claim any indemnity for cancellation.
Signature and Proof
Validation and payment of Order in the conditions detailed in the present General terms will be worth of proof for the entirety of Order, and entail applicability of all articles detailed in the present General Conditions, relating notably to the number of "Cart'etincelles".
Modification of eligible Project Holders
5CONTINENTS reserves the right to withdraw one or some of the Project Holders chosen by the Customer if required, following a written request from the Project Holder. 5CONTINENTS commits to inform the Customer as soon as possible, by telephone, mail or email.
Availability of « art'etincelle »
In the case of unavailability of « Cart'etincelles » in the course of treatment of Order, 5CONTINENTS commits to inform the Customer as soon as possible, by telephone, mail or email and to provide to the Customer a new delay of availability of « Cart'etincelles » , which the Customer has the faculty to accept or to refuse.
In case of refusal from his part, the Order is cancelled and reimbursed in its entirety, according to the modalities of refund defined in the article 1 of the present General Conditions.
ARTICLE 2 – RATES AND MODALITIES OF PAYMENT
Rates
The price of « Cart'etincelle » is pointed out in Euros, Sterling, Dollars and Yens on the Site and on the Order.
Costs of delivery of the « Cart'etincelle » are fixed. They are 3€ HT (3,59€ TTC) for the delivery of the « Cart'etincelles », subject to modification of these rates. Any modification of expenses of treatment of Order will make the object of a prior information to the Customer, before any validation. Consequently, the price invoiced corresponds to the price of the « Cart'etincelles » and to the costs of delivery in force on the day of the validation of order by the Customer.
Modalities of payment
The Customer can perform his payment by check and send it to:

The transaction will be validated after reception of the check by 5CONTINENTS.
ARTICLE 3 - THE DELIVERY
Delay: the average delay of delivery is 3 days, in addition to the delay of Order Treatment defined in the article 1. The delays of transportation are not the responsibility of 5CONTINENTS.
5CONTINENTS is not responsible for consequences due to a delay of transportation, of expedition and/or delivery, or damage attributable to third parties.
In case of delay of expedition, an email is addressed to the Customer.
ARTICLE 4 – RESPONSIBILITY
5CONTINENTS has an obligation of means. THE RESPONSIBILITY OF 5CONTINENTS FOR DIRECT DAMAGE CAUSED FOR WHATEVER REASON IS LIMITED TO THE PRICE OF SERVICES DEFINED IN THE ORDER AND PAID BY THE CUSTOMER, in the express exclusion from all other sums, notably from Donations.
Due to the complexity of the projects operated by the Project Holders and financed by the « Cart'etincelle » and also the difficulty in controlling them, 5CONTINENTS can't be kept for responsible, neither for published information regarding them, nor for the execution of plans.
The responsibility of 5CONTINENTS could not be engaged for all indirect, consecutive and/or immaterial damage suffered by the Customer, Card Holders and/or Project Holders. Such as, without limitation, financial, commercial damages, losses of benefits, of exploitation and/or losses of turnover, losses of tax benefits, the losses of data. 5CONTINENTS could not be responsible for the usage, nor for consequences of the impossibility of using « Cart'etincelle » due to their impairment, their bad use, to the faulty functioning of equipments, networks and/or to usable services with « Cart'etincelle », including and without limitation: the use of Internet network, notably a break of service, an external intrusion or the presence of computer viruses. It is up to the Customer to take any measures to protect his data and/or software of pollution by possible viruses, or other malevolent codes, or of piracy from Internet network and to undertake regular maintenances.
The Customer is alone responsible for the usage and for the conservation of the « Cart'etincelles », including by a Card Holder, for confidentiality of code and for payment of services. 5CONTINENTS notably excludes any responsibility in case of communication by the Customer and/or the Card Holder of his personal identification number to a third party or a commissioner service and/or in case of use of the « Cart'etincelle » by a third user.
The responsibility of 5CONTINENTS could not be engaged in case of non respect of the obligations of the Customer, Card Holder and/or Project Holder, as well as for the projects performed by third parties; and in case of force majeure, or of any fact of a third party.
The Customer is alone responsible for any detriment caused by himself, his employees and/or Card Holders. The Customer guarantees and will indemnify 5CONTINENTS against any action or appeal of a third party, Project Holders and/or Card Holders, which could be performed against 5CONTINENTS. The Customer will support all the costs related to the defense for these actions and appeal.
The Customer remains entirely responsible for the respect for laws and regulations in force as part of his activities and for the use of the 5CONTINENTS services, and notably of his social, tax obligations, and accounting. 5CONTINENTS will not be responsible for any aspect related to these topics.
ARTICLE 5 – GUARANTEE
Guarantee is limited to the card (support). 5CONTINENTS guarantees that the support of « Cart'etincelle » is exempt from material and manufacture vices, subject to a normal use, for a period of thirty (30) days from the date of delivery. In case of defect affecting the support and signaled by the Customer during the guarantee period, 5CONTINENTS, in its discretion, will replace the faulty support or reimburse its paid price. 5CONTINENTS could not be kept responsible for replacement or refund of the support harmed following an accident, an excessive usage or an inappropriate use.
Exclusion from guarantee. EXCEPT THE GUARANTEE STIPULATED ABOVE, 5CONTINENTS EXCLUDES ALL OTHER IMPLICIT OR EXPRESS LAWFUL GUARANTEES, NOTABLY BUT WITHOUT LIMITATION GUARANTEES OF HIDDEN VICES, GUARANTEES REGARDING QUALITY, ADEQUACY IN A PARTICULAR USAGE OR NON-COUNTERFEITING AND/OR VIOLATION OF RIGHTS OF A THIRD PARTY.
Statement of entire guarantee. Limited guarantees stipulated in the previous paragraphs are the only guarantees given by 5CONTINENTS. No verbal or written information given by 5CONTINENTS, its sellers, distributors, agents or employees could constitute a guarantee or spread the scope of the limited guarantee stipulated before.
ARTICLE 6 - PERSONAL DATA
6.1 Treatments of 5CONTINENTS
Personal information and data related to the Customer are gathered by 5CONTINENTS and treated as part of the execution of the present General Conditions, in accordance with the laws in force. They are necessary for the management of Orders and for the trade relations, notably with a view to give to the Customer the commercial offer related to the products and services commercialized by 5CONTINENTS.
The Customer is informed that this information will be treated automatically, notably the management of addresses email. This file makes the object of a statement to the CNIL (nº 730490) in France.
In accordance with the law of January 6th, 1978 changed by the law of August 6th, 2004, the Customer has a right of access, of correction and of abolition of data with personal character. The Customer can also oppose to the use of his personal data for commercial aims. He only has, to exercise this right, to apply for it by pointing out name, forenames, address mail and if possible his Customer reference number to 5CONTINENTS:

The information mentioned "compulsory" is necessary for the management of the Customer Order. The facultative information makes no difference of treatment.
Gathered information is intended to 5CONTINENTS and to his subcontractors. Their treatment has as purpose of management, security and validation of Orders.
6.2 Treatments subcontracted to 5CONTINENTS by the Customer
The Customer is responsible for the processing of personal data subcontracted to 5CONTINENTS. 5CONTINENTS accepts the personal data only for the execution of the Service detailed in the present General conditions.
5CONTINENTS should not use or disclose personal data without the permission of the Customer in any purpose other than the accomplishment of its obligations in accordance with the present General Conditions.
Personal data will not be kept for longer than necessary for the accomplishment of the Service for which they were collected, such as fixed by the Customer, and 5CONTINENTS will correct and/or cancel personal data at the only request form the Customer.
The Customer declares and guarantees to 5CONTINENTS that (i) treatments entrusted to 5CONTINENTS will make the object of statements requested to the CNIL or any other competent foreign authority or make the object of requests of prior permission, if necessary, in accordance with law or other applicable foreign law; (ii) the persons concerned and if necessary authorities responsible of the personnel will be duly informed; and (iii) that the aforementioned treatments will comply with applicable legislation in protection of personal data.
ARTICLE 7 - INTELLECTUAL PROPERTY
All elements of the Site 5CONTINENTS, notably graphic, visual or sound, including subjacent technology, are protected by the right of intellectual and industrial property, especially copyright, right of marks or of patents. They are the exclusive property of 5CONTINENTS or its donors of license.
The user, who has a personal Internet site, has the possibility of putting, for a personal usage, on his site, a simple link returning directly in the homepage of the 5CONTINENTS Site, subject to the prior acceptance of 5CONTINENTS.
Under no circumstances, the creation of this link will be considered to be an implicit convention of affiliation from 5CONTINENTS.
Other types of hypertext link returning to the 5CONTINENTS Site and notably using the technology of "Framing" or of " in-line linking " is officially forbidden by 5CONTINENTS.
In any case, the link will have to be withdrawn at simple request from 5CONTINENTS.
In case of breach of obligations above by the Customer, his employees, the Card Holders, and/or any third parties, the Customer is alone responsible regarding 5CONTINENTS. The Customer promises to guarantee and to indemnify 5CONTINENTS for all consequences, notably financial, for such breaches.
ARTICLE 8 - ENTIRETY
In the event of one of the clauses of the present General Conditions would become not applicable for any reason, the other dispositions of the present general terms of sale would remain in force and should be respected.
ARTICLE 9 - DURATION
The present General terms are applied as from the date of validation and of acceptance of Order by the Customer in accordance with the article 1, until the date of end of validity for the « Cart'etincelle� signed by the Customer, such as specified in the last Order, plus 60 days.
ARTICLE 10 - PROOF
Computerised registers, kept in the computer systems of 5CONTINENTS are considered to be the proof of communications, Orders and of payments intervened between Parties.
ARTICLE 11 - CONSERVATION AND ARCHIVING OF TRANSACTIONS
The archiving of Orders and of bills is performed on a reliable and lasting support in accordance with the dispositions of articles 1369-1 and following of the French Civil code relating to contracts under electronic form.
ARTICLE 12 - APPLICABLE LAW AND COMPETENCE
The present General terms are subject to French law, with the exception of the rules of conflicts of laws. The attribution of competence in case of litigation relating to training, validity, execution, interpretation, expiration and/or termination of the present General Conditions, and failing amicable agreement between parties, is given to the courts of competent jurisdiction of Paris, France, nonwithstanding defendants' multiplicity and/or call in guarantee, even for urgent or protective procedures in summary judgment or by request.
The attributive clause of jurisdiction is not applicable to the non professional or consumer.
ARTICLE 13 – TERMINATION
In case of breach in obligations stipulated in the present General terms by a party, the other party will be able to cancel by right the present General terms by sending a demand by registered letter with acknowledgement of receipt, with a notice of fifteen (15) days, without prejudice or any damages.
ARTICLE 14 – FORCE MAJEURE
None of the parties will be responsible for a delay or for a nonperformance, complete or partial, of its obligations resulting from a case of force majeure. Besides those habitually kept by the case law of the Supreme court of appeal, are considered to be cases of force majeure: governmental decisions, war, sabotage, exceptional bad weather, natural disasters, floodings, epidemics, fires, lightning, phenomena of disturbance, of break or of fault of networks, strike, lock-out, assassination attempts, restrictions in the service supply of telecommunications, restrictions of the sources of supply.
The case of force majeure suspends the obligations of each parties for the duration of its existence. However, in the case of force majeure longer than thirty (30) days, a party could ask for straight termination of the present General Conditions by right, by sending a registered letter with acknowledgement of receipt. The payment will remain owed for already fulfilled obligations and parties will sell their count off consequently, without being able to aspire to any indemnification whatever nature it is.

APENDIX
The present General terms do not contradict or change the laws applying to non professional or consumer.
Article L211-4 Code de la consommation (in French)
Le vendeur est tenu de livrer un bien conforme au contrat et répond des défauts de conformité existant lors de la délivrance. Il répond également des défauts de conformité résultant de l'emballage, des instructions de montage ou de l'installation lorsque celle-ci a été mise à sa charge par le contrat ou a été réalisée sous sa responsabilité.
Article L211-5 Code de la consommation
Pour être conforme au contrat, le bien doit :
1° Être propre à l'usage habituellement attendu d'un bien semblable et, le cas échéant :

L'action résultant du défaut de conformité se prescrit par deux ans à compter de la délivrance du bien.
Le vendeur reste tenu des défauts de conformité du bien au contrat et des vices rédhibitoires dans les conditions prévues aux art. 1641 à 1649 du Code Civil. Article 1641 Code civil
Le vendeur est tenu de la garantie à raison des défauts cachés de la chose vendue qui la rendent impropre à l'usage auquel on la destine, ou qui diminuent tellement cet usage, que l'acheteur ne l'aurait pas acquise, ou n'en aurait donné qu'un moindre prix, s'il les avait connus.
Article 1648 alinéa 1er Code civil
L'action résultant des vices rédhibitoires doit être intentée par l'acquéreur dans un délai de deux ans à compter de la découverte du vice.
Délai de rétractation.
Conformément aux dispositions de l’article L. 121-20 du code de la consommation, le Client bénéficie d'un délai de sept (7) jours francs pour exercer son droit de rétractation sans avoir à justifier de motifs ni à payer de pénalités, à l’exception, le cas échéant, des frais de retour. Le délai de rétractation court à compter de la réception des « Cart’etincelle » par le Client.
Dans le cas où les informations prévues à l’article L 121-19 du code de la consommation n’auraient pas été fournies, le délai d’exercice du droit de rétractation est porté à trois (3) mois. Toutefois lorsque la fourniture de ces informations intervient dans les trois (3) mois à compter de la réception des « Cart’etincelle », elle fait courir le délai de sept (7) jours mentionné au précédent alinéa.
Lorsque le délai de sept (7) jours expire un samedi, un dimanche ou un jour férié ou chômé, il est prorogé jusqu’au premier jour ouvrable suivant.
Conformément à l’Art. L 121-20-1 du code de la consommation, lorsque le droit de rétractation est exercé, 5CONTINENTS est tenu de rembourser sans délai le Client et au plus tard dans les trente (30) jours suivant la date à laquelle ce droit a été exercé. Au-delà, la somme due est, de plein droit, productive d’intérêts au taux légal en vigueur.
Le Client doit retourner la commande des « Cart’etincelle » accompagnée de la facture et d'un RIB (relevé d'identité bancaire) dans son emballage d'origine par courrier recommandé avec AR à :
5CONTINENTS – 4 rue Louis Codet - 75007 PARIS.
Conformément à l’Art. L 121-20-2 du code de la consommation « le droit de rétractation ne peut être exercé, sauf si les parties en sont convenues autrement, pour les contrats : 1° de fourniture de services dont l’exécution a commencé, avec l’accord du consommateur, avant la fin du délai de sept (7) jours francs »
Modification des Organismes Bénéficiaires éligibles
5CONTINENTS se réserve le droit de retirer un ou plusieurs des Organismes Bénéficiaires sélectionnés par le Client sur demande écrite des Organismes concernés. 5CONTINENTS s’engage à en informer le Client dans les meilleurs délais, par téléphone, mail ou courrier.
Conformément à l’Art. L 121-20-3 du code de la consommation, le Client doit, le cas échéant, pouvoir être remboursé sans délai et au plus tard dans les trente (30) jours du paiement des sommes qu’il a versées. Au-delà de ce terme, ces sommes sont productives d’intérêts au taux légal.
Toutefois, 5CONTINENTS proposera d’autres Organismes Bénéficiaires au Client que celui-ci aura la faculté d'accepter ou de refuser.
Les frais de retour consécutifs à l’exercice du droit de rétractation, sont, dans ce cas, à la charge de 5CONTINENTS.
En cas de refus de sa part, la Commande est annulée et remboursée dans son intégralité, selon les modalités de remboursement définies ci-dessus.
Disponibilité des « Cart’etincelle »
A défaut de disponibilité des « Cart’etincelle » en cours de traitement de la commande, 5CONTINENTS s'engage à informer le Client dans les meilleurs délais, par téléphone, mail ou courrier. Conformément à l’Art. L 121-20-3 du code de la consommation, le Client doit, le cas échéant, pouvoir être remboursé sans délai et au plus tard dans les trente (30) jours du paiement des sommes qu’il a versées. Au-delà de ce terme, ces sommes sont productives d’intérêts au taux légal.
Toutefois, 5CONTINENTS s’engage à indiquer au Client un nouveau délai de disponibilité des « Cart’etincelle » que le Client a la faculté d'accepter ou de refuser. Les frais de retour consécutifs à l’exercice du droit de rétractation, sont, dans ce cas, à la charge de 5CONTINENTS.
En cas de refus de sa part, la Commande est annulée et remboursée dans son intégralité, selon les modalités de remboursement définies ci-dessus.
